These terms apply to: (a) all visitors to vortexaiadvisory.com; (b) clients who engage us for agency or IT services. "You" refers to the individual or business entity using our website or engaging our services.

4. Our Services — Scope and Engagement
4.1 Nature of Services
We provide, among other things: digital marketing strategy and execution, web and application development, AI integration and consultancy, IT consultancy, e-commerce solutions, and bespoke project delivery. Specific service details, deliverables, timelines and fees are agreed in writing (by email, proposal, or statement of work) prior to commencement.
4.2 Bespoke Services
Many of our services are custom-scoped. No two engagements are identical. We will provide a written summary of agreed scope before work begins. Any changes to scope after agreement must be confirmed in writing by both parties.
4.3 Professional Standard
All services will be delivered with reasonable care and skill, consistent with the standard expected of a competent professional provider in the relevant field, in accordance with Section 39 of the Sale of Goods and Supply of Services Act 1980 and Part 4 of the Consumer Rights Act 2022.
4.4 Client Obligations
You agree to: provide us with accurate and complete information required for service delivery; respond promptly to reasonable requests for approvals or inputs; ensure that any materials you provide to us do not infringe third-party rights; and make payment in accordance with agreed terms.
5. Consumer Rights (B2C Clients)
Where you engage our services as a consumer (i.e. for personal use and not in the course of a trade or profession), the following mandatory rights apply under the Consumer Rights Act 2022 and cannot be waived or excluded by contract:
- Services must be supplied with reasonable care and skill
- Services must be fit for any particular purpose you made known to us before the contract was agreed
- Services must be as described and correspond to any pre-contractual information provided
- Where a price has not been agreed in advance, you will only be required to pay a reasonable price
- Where a time for completion has not been agreed, services will be completed within a reasonable time
If a service does not meet these standards, you are entitled to ask us to bring it into conformity (repeat performance or, where not possible, a price reduction or refund), subject to the remedies set out in Part 4 of the Consumer Rights Act 2022.
6. Distance and Off-Premises Contracts
Where a contract is concluded at a distance (e.g. by email, phone, or through this website) with a consumer, the following applies under the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013:
6.1 Pre-Contractual Information
Before you enter into a distance contract with us, we will provide you in writing with: a description of the services; the total price or the basis on which it will be calculated; our identity and contact details; the duration of the contract; your cancellation rights; and the existence of any complaint-handling procedures.
6.2 Right of Withdrawal (14-Day Cooling-Off Period)
Consumer clients have the right to withdraw from a distance or off-premises service contract within 14 calendar days from the date the contract is concluded, without giving a reason, unless an exception applies.
Important exception: If you expressly request that we begin providing the service before the 14-day withdrawal period expires, and you acknowledge that you will lose your right of withdrawal once the service is fully performed, then your right to cancel is lost upon full performance of the service. If only part of the service has been performed when you withdraw, you will pay a proportionate amount for services actually delivered.
To exercise your right of withdrawal, contact us at support@vortexaiadvisory.com before the deadline with a clear statement of your intention to withdraw. If we do not inform you of your cancellation rights, the withdrawal period extends to 12 months from the end of the original 14-day period.
6.3 Refunds on Withdrawal
Where a valid withdrawal is exercised and no services have been delivered, a full refund will be issued within 14 days of receiving your withdrawal notice, using the same payment method as the original transaction unless you expressly agree otherwise.
7. Service Standards and Conformity
Our services must meet both subjective conformity (the specific requirements agreed in our contract) and objective conformity (what a consumer would reasonably expect of comparable services), as required by Part 4 of the Consumer Rights Act 2022.
If we are made aware before the contract is agreed of any specific purpose you require the service for, we will be held to that standard. Where we make public statements about our services (e.g. on this website), those form part of our objective conformity obligations unless we were unaware and could not reasonably have known of them.
Consumers have up to 6 years from the date of supply to raise a lack of conformity issue. During the first 12 months after delivery, the burden falls on us to demonstrate conformity.
8. Pricing and Payment
All prices quoted are in Euro (€) and are exclusive of VAT unless otherwise stated. VAT will be applied at the prevailing Irish rate where applicable.
Payment terms will be set out in your engagement agreement or proposal. We reserve the right to suspend work where invoices are not paid within agreed terms. Late payment interest may apply at the rate provided under the European Communities (Late Payment in Commercial Transactions) Regulations 2012 (SI 580/2012) for business-to-business contracts.
In compliance with the Consumer Rights Act 2022, we will not apply personalised pricing based on automated decision-making without first disclosing this to you clearly.
9. Intellectual Property
9.1 Our IP
All content on this website — including text, graphics, logos, product names, software, and design elements — is the property of Vortex AI Advisory Ltd or its licensors, protected under the Copyright and Related Rights Act 2000 and the European Union (Copyright and Related Rights in the Digital Single Market) Regulations 2021. You may not reproduce, distribute, or create derivative works without our express written consent.
9.2 Deliverables from Services
Unless otherwise agreed in writing, ownership of custom deliverables (e.g. websites, applications, creative assets) produced specifically for you will transfer to you upon receipt of full payment. We retain ownership of any pre-existing tools, frameworks, methodologies, and intellectual property developed independently, which may be used in delivering your project under a limited, non-exclusive licence.
9.3 Your Materials
You warrant that any materials, content, or data you provide to us for use in service delivery do not infringe any third-party intellectual property rights, and you grant us a limited licence to use such materials solely for the purpose of delivering the agreed services.
9.4 Infringement Procedure
If you believe any content on this site infringes your intellectual property rights, please contact support@vortexaiadvisory.com with details of the alleged infringement. We will investigate and respond promptly.
10. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of an engagement ("Confidential Information") and not to disclose it to third parties without prior written consent, except where required by law or where the information is already in the public domain. This obligation survives the termination of the engagement for a period of 3 years.
11. Data Protection
We process personal data in accordance with the GDPR, the Data Protection Act 2018, and our Privacy Policy, available at vortexaiadvisory.com/privacy.html. Where we process personal data on your behalf as part of a service engagement, we will enter into a Data Processing Agreement (DPA) as required by Article 28 GDPR. We do not use personal data provided by clients for any purpose other than delivering the contracted services.
12. AI-Powered Services
Some of our services incorporate artificial intelligence tools and large language models. We are committed to the responsible and transparent use of AI, consistent with the requirements of the EU AI Act (Regulation (EU) 2024/1689) and applicable GDPR principles.
Where AI tools are used in your project, we will: disclose their use to you; ensure outputs are reviewed by qualified humans before delivery; not apply AI-driven automated decision-making in ways that produce legal or significant personal effects without your informed consent; and ensure appropriate data minimisation and security measures are applied to any data processed by AI systems.
AI-generated outputs are advisory and may require professional review. We do not warrant the accuracy, completeness, or fitness for purpose of AI-generated content without further human verification.
13. Liability and Disclaimers
13.1 Website Disclaimer
This website is provided on an "as is" and "as available" basis. While we take reasonable care to ensure accuracy, we do not warrant that the site will be uninterrupted, error-free, or free of harmful components. For consumer clients, nothing in these terms affects your statutory rights. These terms do not attempt to exclude liability in ways that would be unfair or automatically void under the Unfair Terms in Consumer Contracts Regulations (as updated by the Consumer Rights Act 2022).
13.4 Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, or industrial disputes. We will notify you promptly and use reasonable efforts to mitigate the impact.
14. Unfair Contract Terms
These terms have been drafted with the aim of being fair, transparent, and plain in language, in accordance with the Consumer Rights Act 2022 (implementing the EU Unfair Contract Terms Directive 93/13/EEC as amended by the Omnibus Directive 2019/2161). We do not intend any term to create a significant imbalance in the parties' rights and obligations to the detriment of a consumer client. Any term found by a competent court to be unfair or unenforceable under applicable law shall be severed or modified to the minimum extent necessary, with the remaining terms continuing in full force.

16. Complaints and Dispute Resolution
16.1 Internal Complaints

Any disputes relating to these terms shall be subject to the non-exclusive jurisdiction of the Irish courts, without prejudice to your rights as a consumer to bring proceedings in the courts of your country of residence within the EU.
